1.7. “LicensedPatents”meanspatentclaimsLicensablebySGIthatare

providedbySGI,oranycombinationthereof.
1.8. “Modications” means any addition to or deletion from the
substance or structure of the Original Code or any previous
Modications.WhenCoveredCodeisreleasedasaseriesofles,
aModicationis:
A.AnyadditiontothecontentsofalecontainingOriginalCode
and/or addition to or deletion from the contents of a le
containingpreviousModications.
B.AnynewlethatcontainsanypartoftheOriginalCodeor
previousModications.
1.9. “Notice”meansanynoticeinOriginalCodeorCoveredCode,as
requiredbyandincompliancewiththisLicense.
1.10.“OriginalCode”meanssourcecodeofcomputersoftwarecode
thatisdescribedinthe sourcecodeNotice requiredbyExhibit
AasOriginalCode,andupdatesanderrorcorrectionsspecically
thereto.
1.11. “Recipient”meansanindividualoralegalentityexercisingrights
under,andcomplyingwithallofthetermsof,thisLicenseora
futureversionofthisLicenseissuedunderSection8.Forlegal
entities,“Recipient”includesanyentitythatcontrols,iscontrolled
by,orisundercommoncontrolwithRecipient.Forpurposesof
thisdenition,“control”ofanentitymeans(a)thepower,director
indirect,todirectormanagesuchentity,or(b)ownershipoffty
percent(50%)ormoreoftheoutstandingsharesorbenecial
ownershipofsuchentity.
1.12.“RecipientPatents”meanspatentclaimsLicensablebyaRecipient
that are infringed by the use or sale of Original Code or any
ModicationsprovidedbySGI,oranycombinationthereof.
1.13.“SGI”meansSiliconGraphics,Inc.
1.14.“SGIPatents”meanspatentclaimsLicensablebySGIotherthanthe
LicensedPatents.
2. LicenseGrantandRestrictions.
2.1. SGI License Grant. Subject to the terms of this License and
any third party intellectual property claims, for the duration
of intellectual property protections inherent in the Original
Code, SGI hereby grants Recipient a worldwide, royalty-free,
non-exclusivelicense, to do the following: (i) under copyrights
Licensable by SGI, to reproduce, distribute, create derivative
worksfrom,and,totheextentapplicable,displayandperformthe
OriginalCodeand/oranyModicationsprovidedbySGIalone
and/oraspartofaLargerWork;and(ii)underanyLicensable
Patents,tomake,havemade,use,sell,offerforsale,importand/
orotherwisetransfertheOriginalCodeand/oranyModications
providedbySGI.Recipientacceptsthetermsandconditionsof
thisLicensebyundertakinganyoftheaforementionedactions.The
patentlicenseshallapplytotheCoveredCodeif,atthetimeany
relatedModicationisadded,suchadditionoftheModication
causessuchcombinationtobecoveredbytheLicensedPatents.
ThepatentlicenseinSection2.1(ii)shallnotapplytoanyother
combinationsthatincludetheModication.Nopatentlicenseis
providedunderSGIPatentsforinfringementsofSGIPatentsby
ModicationsnotprovidedbySGIorcombinationsofOriginal
Code and Modications not provided by SGI. 2.2. Recipient
LicenseGrant.SubjecttothetermsofthisLicenseandanythird
party intellectual property claims, Recipient hereby grants SGI
andanyotherRecipientsaworldwide,royalty-free,non-exclusive
license,underanyRecipientPatents,tomake,havemade,use,sell,
offerforsale,importand/orotherwisetransfertheOriginalCode
and/oranyModicationsprovidedbySGI.
2.3. NoLicenseForHardwareImplementations.Thelicensesgranted
inSection2.1and2.2arenotapplicabletoimplementationin
HardwareofthealgorithmsembodiedintheOriginalCodeor
anyModicationsprovidedbySGI.
3. Redistributions.
3.1. Retention ofNotice/Copyof License.The Notice set forth in
ExhibitA,below,mustbeconspicuouslyretainedorincludedin
anyandallredistributionsofCoveredCode.Fordistributionsof
theCoveredCodeinsourcecodeform,theNoticemustappear
ineverylethatcanincludeatextcommentseld;inexecutable
form,theNoticeandacopyofthisLicensemustappearinrelated
documentationorcollateralwheretheRecipient’srightsrelating
toCoveredCodearedescribed.AnyAdditionalNoticeProvisions
whichactuallyappearsintheOriginalCodemustalsoberetained
orincludedinanyandallredistributionsofCoveredCode.
3.2. Alternative License. Provided that Recipient is in compliance
withthetermsofthisLicense,Recipientmay,solongaswithout
derogationofanyofSGI’srightsin andtothe OriginalCode,
distribute the source code and/or executable version(s) of
CoveredCodeunder(1)thisLicense;(2)alicenseidenticalto
thisLicensebutforonlysuchchangesasarenecessaryinorder
toclarifyRecipient’sroleaslicensorofModications;and/or(3)a
licenseofRecipient’schoosing,containingtermsdifferentfromthis
License,providedthatthelicensetermsincludethisSection3and
Sections4,6,7,10,12,and13,whichtermsmaynotbemodied
orsupersededbyanyothertermsofsuchlicense.IfRecipient
electstouseanylicenseotherthanthisLicense,Recipientmust
makeitabsolutelyclearthatanyofitstermswhichdifferfrom
thisLicenseareofferedbyRecipientalone,andnotbySGI.Itis
emphasizedthatthisLicenseisalimitedlicense,and,regardlessof
thelicenseformemployedbyRecipientinaccordancewiththis
Section3.2,Recipientmayrelicenseonlysuchrights,inOriginal
CodeandModicationsbySGI,asithasactuallybeengrantedby
SGIinthisLicense.
3.3. Indemnity. Recipient hereby agrees to indemnify SGI for any
liabilityincurredbySGIasaresultofanysuchalternativelicense
termsRecipientoffers.
4. Termination.ThisLicenseandtherightsgrantedhereunderwill
terminateautomaticallyifRecipientbreachesanytermhereinand
failstocuresuchbreachwithin30daysthereof.Anysublicense
totheCoveredCodethatisproperlygrantedshallsurviveany
terminationofthisLicense,absentterminationbythetermsof
suchsublicense.Provisionsthat,bytheirnature,mustremainin
effectbeyondtheterminationofthisLicense,shallsurvive.
5. NoTrademarkOrOtherRights.ThisLicensedoesnotgrantany
rights to: (i) anysoftware apart from the CoveredCode, nor
shallanyotherrightsorlicensesnotexpresslygrantedhereunder
arisebyimplication,estoppelorotherwisewithrespecttothe
CoveredCode;(ii)anytradename,trademarkorservicemark
whatsoever, including without limitation any related right for
purposes of endorsement or promotion of products derived
fromtheCoveredCode,withoutpriorwrittenpermissionofSGI;
or(iii)anytitletoorownershipoftheOriginalCode,whichshall
atalltimesremainswithSGI.AllrightsintheOriginalCodenot
expresslygrantedunderthisLicensearereserved.
6. Compliance with Laws; Non-Infringement. There are various
worldwide laws, regulations, and executive orders applicable
to dispositions of Covered Code, including without limitation
export, re-export, and import control laws, regulations, and
executiveorders,oftheU.S.governmentandothercountries,and
Recipientisremindeditisobligedtoobeysuchlaws,regulations,
and executive orders. Recipient may not distribute Covered
Codethat(i)inanywayinfringes(directlyorcontributorily)any
intellectualpropertyrightsofanykindofanyotherpersonor
entityor(ii)breaches anyrepresentationorwarranty,express,
